Terms of Service

Effective date: March 20, 2026

These Terms of Service ("Terms") form a binding agreement between you and Neo Labs Inc. ("Neo Labs", "we", "our", or "us"). They govern your access to and use of Memolane and all related services (collectively, "the Service"). Please read them carefully.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Service. By using Memolane, you represent that you meet this age requirement.

2. Account Registration

To access most features, you must create an account. You are responsible for:

  • Providing accurate and up-to-date registration information.
  • Keeping your password confidential.
  • All activity that occurs under your account.

If you believe your account has been compromised, contact hello@memolane.in immediately.

3. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, store, or transmit content that is illegal, harmful, defamatory, or infringing.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Use automated tools (bots, scrapers, crawlers) against the Service without our written permission.
  • Resell, sublicense, or commercially exploit the Service without a separate commercial agreement.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate these rules.

4. Your Content

You retain ownership of all content you capture and store in Memolane ("Your Content"). By uploading content, you grant Neo Labs a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you.

We do not claim any intellectual property rights over Your Content. We will not share it with third parties except as described in our Privacy Policy.

5. Intellectual Property

All rights in the Service (excluding Your Content) — including the Memolane name, logo, code, design, and documentation — are owned by Neo Labs or its licensors. Nothing in these Terms transfers those rights to you.

You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

6. Early Access and Subscriptions

Memolane is currently in early access. During this phase:

  • The Service is provided "as-is" without a paid subscription.
  • Features may change, be added, or be removed at any time.
  • We will provide reasonable notice before introducing paid tiers that affect existing functionality.

When paid plans are introduced, billing terms will be communicated clearly before any charge is made.

7. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Service ends. We will delete your data as described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEO LABS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEO LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

10. Indemnification

You agree to indemnify and hold harmless Neo Labs, its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Delaware.

12. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will update the effective date at the top of this page and notify you by email or in-app notification at least 14 days before the change takes effect. Continued use after that date constitutes acceptance.
